By-Laws of Old Shiloh Cemetery Association

Article I - Name


This organization shall be known as the Old Shiloh Cemetery Association.


Article II - Purpose


The Old Shiloh Cemetery Association exists for the purpose of operating, maintaining, and perpetuation the OLD SHILOH CEMETERY, which was established by gift for the purpose of providing a free burial site for any and all that might wish to be interred within its boundaries. It’s members are those that are present on the occasion of the annual meeting, which is held at the Old Shiloh Baptist Church on the last Saturday of each April, at 10:00 AM.


Article III - Membership


Membership in the Old Shiloh Cemetery Association is informal. The annual meeting is held on the above date in the Old Shiloh Baptist Church. The annual business meeting is conducted. An agenda shall be printed, with copies available to all present.


Article IV - Officers


The Old Shiloh Cemetery is governed by a committee of seven (7) members. Each member is elected for a four (4) year term, with two member seats open for election each year, with the exception of the 4th year, where only one member seat will be elected, at the annual meeting.


The committee shall meet a minimum of every three months: January, April, July, and October. Other meetings shall be called by the chairperson when needed.


A quorum of four members Or 2/3 active members shall be present in order to conduct official business.


The Committee manages the affairs of the cemetery, plans and implements the annual picnic, employs and supervises the cemetery Sexton, authorizes the purchase of all cemetery equipment, supplies and general cemetery operations. The committee shall determine the salary for the cemetery Sexton. Officers shall be elected by the members present at the annual meeting.


Officers shall serve for a term of one year. Officers may be reelected to consecutive terms.


Article V - Meetings


Officers shall be elected by the members present at the annual meeting. Officers shall serve for a term of one year, and may be reelected by the membership each year.


The officers of the Old Shiloh Cemetery Association shall be:


Chairman

Duties: Shall preside over all committee meetings and has the responsibility to see that all members are kept abreast of all cemetery business. The Chairman shall have the authority to appoint committees of the membership to assist in the operation of the committee.

Vice-Chairman

Duties: Shall preside over all committee meetings in the absence of the Chairman, and to conduct the meetings.

Secretary-Treasurer

Duties: Shall be the recording officer of the Committee. The Secretary-Treasurer shall be responsible for the keeping accurate records of all meetings. The Secretary-Treasurer shall be responsible for all the funds of the Cemetery Association, and shall make disbursements therefrom as directed by the Committee. A report of all receipts and disbursements shall be given to the Committee at each regular meeting. The books of the Cemetery Association shall be audited annually.


Article VI - Cemetery Trust Fund


The Old Shiloh Cemetery Trust is managed by the trust department of Citizens National Bank of Henderson, Texas. The interest from this trust is available to supplement annual gifts and revenue received from donations and concessions at the annual picnic. However, if the interest is not needed, the trust officer is encouraged to return a portion of the interest to the corpus, with a portion held in a money market fund for emergencies.


Article VII - Old Shiloh Cemetery Rules


Rules governing the general operation of the cemetery shall be adopted and or amended at the annual meeting. These rules shall be consistent with the historic operation and the general maintenance of the cemetery.
